Terms of Service

Terms and conditions for customers
using PRIVÉ Shirokane

AzabuSystem Inc. (hereinafter referred to as 'the Company') hereby establishes the following Terms of Service (hereinafter referred to as 'these Terms') regarding the use of the nail salon reservation platform 'PRIVÉ' (hereinafter referred to as 'the Service') operated by the Company. Customers who use the Service (hereinafter referred to as 'Users') are deemed to have agreed to these Terms.

Article 1 — Scope

  1. These Terms shall apply to all matters relating to the use of the Service between the User and the Company.
  2. Any supplementary rules such as "Entry Policy" or "Cancellation Policy" published on the Service shall constitute a part of these Terms.

Article 2 — Definitions

The following terms used in these Terms shall have the meanings set forth below.

  1. "The Service": The reservation, payment, and space-sharing service provided through the salon "PRIVÉ Shirokane" and its web system operated by the Company.
  2. "Partner": A nailist (independent contractor) who provides nail services through the Service.
  3. "Service Contract": A contract for nail services concluded between a User and a Partner.
  4. "User": An individual who receives nail services through the Service.

Article 3 — Nature of Service and Contracting Parties

  1. Platform Role
    The Service is a platform that matches Users with Partners and provides reservation management and payment processing. The provider of nail services is each individual Partner, not the Company.
  2. Contract Formation
    A Service Contract is formed between the User and the assigned Partner when the User completes a reservation through the Service. The Company is not a party to such contract.

Article 4 — User Registration and Account Management

  1. Users shall register truthful and accurate information. If false information is registered (such as a fake name reservation), the Company may suspend the relevant account.
  2. Users shall not transfer or lend their ID, password, smart lock access codes, or other credentials to third parties. The Company assumes no liability for damages resulting from inadequate management of such credentials.

Article 5 — Fees and Payment

  1. Stripe Payment
    Users shall pay for the Service usage fees and treatment charges via credit card or other methods through the payment system provided by Stripe, Inc.
  2. Same-Day Adjustments
    The amount at the time of reservation is an estimate (or base price). If a price difference arises due to same-day changes in treatment content (additional designs, removal changes, etc.), the User agrees that payment will be processed at the final amount agreed upon at the salon.

Article 6 — Cancellation Policy

  1. Cancellations made at the User's convenience are subject to the following cancellation fees.

  1. Cancellation fees will be automatically charged to the registered credit card.
  2. In cases where treatment becomes impossible due to Partner unavailability or force majeure (natural disasters, major facility malfunctions, etc.), a full refund will be provided.

Article 7 — Prohibited Acts

Users shall not engage in any of the following acts when using the Service.

1. Attacks on Service Operations and Systems (Hacking, etc.)

  • Destroying or interfering with the functionality of the Company's servers or networks.
  • Intentionally exploiting bugs or malfunctions in the Service.
  • Using automated tools (bots) to monopolize reservation slots.
  • Disassembling, decompiling, or reverse engineering the Service.
  • Sending or uploading computer viruses or unauthorized programs.

2. Interference with Salon Operations and Treatments

  • Failing to appear at the reserved salon without notice (No Show).
  • Repeatedly making and cancelling reservations within a short period without reasonable cause.
  • Verbal abuse, intimidation, sexual harassment, or other acts that interfere with a Partner's work during treatment.
  • Intentionally damaging, soiling, or removing salon equipment (iPads, chairs, supplies, etc.).
  • Allowing unauthorized third parties to enter the private room without permission.

3. Prohibited Business Practices

  • Soliciting Partners for direct service requests or monetary transactions outside the Service (bypassing the platform).
  • Using the Service for commercial purposes (reselling, proxy reservation services, etc.).

4. Legal and Public Order Violations

  • Acts that violate laws or public order and morals.
  • Providing benefits to or cooperating with antisocial forces.

Article 8 — Usage Restrictions and Account Deletion

The Company may, without prior notice, restrict all or part of a User's access to the Service or delete their registration if any of the following circumstances apply.

  1. The User has violated any provision of these Terms.
  2. False information has been found in the registration details.
  3. The credit card registered as a payment method has been suspended.
  4. The User fails to respond to communications from the Company within a reasonable period.
  5. The Company otherwise determines that use of the Service is inappropriate.

Article 9 — Exclusion of Antisocial Forces

  1. Users represent and warrant that they are not, now or in the future, members of organized crime groups, associates thereof, or any other antisocial forces as defined by Japanese law.
  2. If a User is found to be in violation of the preceding paragraph, the Company may immediately terminate the service agreement without notice.

Article 10 — Disclaimer

  1. Treatment Quality
    Issues related to treatment quality, durability, allergic reactions, or other problems are the responsibility of the Partner who performed the treatment. The Company, as the platform operator, assumes no legal liability for such matters.
  2. System Disclaimer
    The Company does not expressly or impliedly warrant that the Service is free from defects in fact or in law (including defects relating to safety, reliability, accuracy, completeness, fitness for a particular purpose, security, errors, bugs, or infringement of rights).
  3. Force Majeure
    The Company shall not be liable for any delay or inability to provide the Service due to natural disasters, war, riots, changes in laws, government orders, communication line failures, or other causes beyond the Company's reasonable control.

Article 11 — Changes to Service Content

The Company may change or discontinue the Service without prior notice to Users, and shall not be liable for any damages incurred by Users as a result.

Article 12 — Governing Law and Jurisdiction

  1. These Terms shall be governed by and construed in accordance with the laws of Japan.
  2. Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court.
